Please read these Terms of Service ("Terms") carefully before using the website or services of the Transgender Healthcare Access Fund ("THAF," "we," "us," or "our"). By accessing or using our website, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing our website, submitting an application, making a donation, volunteering, or otherwise using our services (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use our website or Services.
These Terms constitute a legally binding agreement between you and the Transgender Healthcare Access Fund ("THAF," "we," "us," or "our"). You must be at least 18 years of age to use our Services, unless you are accessing the Services as a minor applicant with parental or legal guardian consent where applicable.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. We will notify users of material changes via email or through a prominent notice on our website.
2. Use of Our Services
2.1 Eligibility
Access to and use of the Services is limited to individuals who meet specific eligibility criteria established by THAF. To be eligible to use our Services, you must be at least eighteen (18) years of age, or if under the age of eighteen (18), you must have obtained valid written consent from a parent or legal guardian who assumes full legal responsibility for your use of the Services. You must be a legal resident of the United States with valid documentation demonstrating such residency. You must provide accurate, complete, and truthful information in all communications with THAF, including but not limited to applications, donations, and account registrations. You must comply with all applicable federal, state, and local laws, regulations, and ordinances in connection with your use of the Services. You must not be barred or prohibited from receiving services under any applicable law, court order, or regulatory restriction. THAF reserves the right, in its sole discretion, to refuse service, terminate accounts, suspend or cancel applications, or deny access to any individual who does not meet these eligibility requirements or for any other reason deemed appropriate by THAF.
2.2 Account Registration and Security
When you create an account, submit an application, or otherwise register for the Services, you represent and warrant that all information you provide is accurate, current, and complete. You agree to maintain the confidentiality and security of your account credentials, including usernames, passwords, and any other authentication information. You agree to notify THAF immediately upon discovery of any unauthorized access to your account, security breach, or suspected compromise of your account credentials. You accept full and complete responsibility for all activities that occur under your account, whether or not authorized by you. You agree not to share, transfer, or disclose your account credentials to any third party, and you acknowledge that any such disclosure may result in immediate termination of your account. THAF shall not be liable for any loss, damage, or harm arising from your failure to maintain the security of your account information, unauthorized access to your account, or any actions taken by persons using your account credentials.
2.3 Prohibited Activities
You are expressly prohibited from using the Services for any illegal, fraudulent, or unauthorized purpose. You agree not to submit any false, misleading, deceptive, or fraudulent information in any application, donation, registration, or other communication with THAF. You agree not to attempt to gain unauthorized access to any systems, networks, servers, databases, or user accounts associated with the Services, whether belonging to THAF or third parties. You agree not to interfere with or disrupt the integrity, security, or performance of the Services, including through the use of viruses, malware, worms, Trojan horses, or any other harmful or destructive code. You agree not to harass, threaten, abuse, intimidate, or harm any other users of the Services, THAF staff, volunteers, or any other individuals. You agree not to collect, harvest, store, or use personal information about other users of the Services without their express written consent. You agree not to impersonate any person or entity, falsely state or misrepresent your affiliation with any person or entity, or create a false identity for any purpose. You agree not to use any automated systems, software, scripts, robots, spiders, data mining tools, or other automated means to access, monitor, copy, or extract data from the Services without THAF's prior written consent. You agree not to engage in any activity that could damage, disable, overburden, impair, or interfere with the proper functioning of the Services or any networks connected to the Services.
3. Funding Applications
3.1 Application Process
All funding applications submitted to THAF are subject to eligibility requirements, available resources, and compliance with THAF's established policies and procedures. By submitting an application, you expressly acknowledge and agree that the mere submission of an application does not create any contractual obligation on the part of THAF to provide funding, nor does it guarantee that funding will be awarded. All applications shall be reviewed according to established, non-discriminatory criteria designed to assess financial need, medical necessity, and compliance with fund-specific requirements. THAF reserves the right, in its sole discretion, to deny any application that does not meet eligibility requirements, for any reason or no reason at all, without obligation to provide detailed explanation. All funding decisions are final and not subject to appeal, unless otherwise expressly stated in writing by an authorized representative of THAF. Applicants are required to provide accurate, complete, and truthful information in all aspects of their application; any falsification, misrepresentation, omission of material information, or submission of fraudulent documents may result in immediate denial of the application, revocation of any approved funding, forfeiture of any awarded funds, and potential civil or criminal legal action. Approved funding amounts may differ from requested amounts based on available resources, assessed need, and THAF's determination of appropriate award levels. Unless otherwise specified in the fund guidelines, funding is provided directly to healthcare providers or approved vendors; limited reimbursement options may be available only as specifically permitted by the terms of the applicable fund.
3.2 Use of Funds
All funds approved and awarded by THAF must be used solely and exclusively for the specific healthcare services, treatments, procedures, or items expressly stated and approved in the award documentation. Recipients of THAF funding are strictly prohibited from using awarded funds for any purpose other than the approved use, and any deviation from the approved purpose constitutes a material breach of these Terms. Recipients agree to complete all funded care within the timeframe specified in the award letter or as otherwise agreed in writing with THAF; failure to complete care within the specified timeframe may result in forfeiture of unexpended funds. Recipients must notify THAF in writing immediately upon becoming aware of any changes in circumstances that may affect eligibility, ability to use funds, or completion of funded care. Recipients shall provide all documentation, receipts, invoices, and other evidence of fund usage as required by THAF in its sole discretion. Recipients are expressly prohibited from transferring, selling, assigning, lending, or otherwise conveying approved funds or any rights thereto to any other person, entity, or organization. Any unused funds must be returned to THAF within thirty (30) days if care is not completed as approved, if the recipient becomes ineligible, or if the funds are otherwise not needed for the approved purpose.
3.3 Provider Requirements
All healthcare providers, medical professionals, and vendors who receive payment from or through THAF must be properly licensed, certified, and credentialed in accordance with all applicable laws, regulations, and professional standards of the jurisdiction in which they practice. Providers must complete THAF's provider registration and verification process, which may include submission of licensure documentation, proof of insurance, background checks, and other credentialing requirements as determined by THAF. Providers must maintain in full force and effect all professional licenses, certifications, registrations, and authorizations required by applicable law, and must immediately notify THAF of any suspension, revocation, or restriction of any such license or authorization. Providers must maintain appropriate professional liability insurance, malpractice coverage, and other insurance as required by law or as specified by THAF. All care provided must be consistent with accepted medical standards, evidence-based practices, and the prevailing standard of care in the provider's specialty and geographic area. THAF does not endorse, recommend, or guarantee the quality of care provided by any healthcare provider, and providers are independent contractors responsible for their own professional conduct and compliance with all applicable laws.
4. Donations and Financial Contributions
4.1 General Donations
When you make a donation or financial contribution to THAF, whether through the website, by mail, or through any other means, you represent, warrant, and covenant that you are the authorized holder of the payment method used and that you have sufficient funds, credit, or authority to complete the transaction. You represent that the donation is made voluntarily, without coercion, and without any expectation of receiving goods, services, preferential treatment, or any other benefit in return. You understand and acknowledge that all donations are irrevocable gifts to support THAF's charitable mission and do not create any ownership interest, membership rights, voting rights, or control rights in THAF. You represent that you are at least eighteen (18) years of age, or if under eighteen (18), that you have obtained valid parental or legal guardian consent to make the donation. All donations are final and non-refundable except in limited circumstances, including but not limited to processing errors, unauthorized transactions demonstrated to THAF's satisfaction, or duplicate donations. All requests for refunds must be submitted in writing to info@thafund.org within thirty (30) days of the date of the donation, and must include documentation supporting the basis for the refund request. THAF reserves the right, in its sole discretion, to approve or deny any refund request.
4.2 Tax Status
THAF is currently in the process of applying for recognition of tax-exempt status under Section 501(c)(3) of the Internal Revenue Code. Until and unless such tax-exempt status is officially granted by the Internal Revenue Service, donations made to THAF may not be tax-deductible for federal income tax purposes. THAF makes no representation or warranty that donations are currently tax-deductible, and donors are advised to consult with their own tax advisors regarding the deductibility of contributions. THAF will update these Terms and provide notice to donors upon obtaining 501(c)(3) status. All donors will receive an acknowledgment letter or receipt documenting their contribution, which may be used for tax reporting purposes if and when tax-exempt status is obtained. THAF reserves the right to amend or revoke acknowledgment letters if errors are discovered or if circumstances change.
4.3 Use of Donations
While THAF makes reasonable efforts to honor donor preferences regarding the use of donated funds, all donors acknowledge and agree that THAF reserves the right, in its sole discretion, to allocate donated funds where they are most needed to advance THAF's mission, regardless of any designation or restriction indicated by the donor, except where the donor has entered into a legally binding restricted gift agreement approved in writing by authorized representatives of THAF. Without limitation, THAF may use unrestricted donations for operational expenses, administrative costs, program support, emergency assistance, fundraising activities, and any other purposes consistent with THAF's charitable objectives. Donors who wish to make a restricted gift that will be legally binding on THAF must clearly indicate such intention at the time of donation and must obtain written confirmation from THAF that the restriction has been accepted. THAF reserves the right to decline any restricted gift that does not align with THAF's mission, values, or operational capacity.
5. Intellectual Property Rights
All content, materials, and intellectual property displayed on or available through the THAF website and Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, is the exclusive property of THAF, its licensors, or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The THAF name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of THAF or its affiliates or licensors. You must not use such marks without the prior written permission of THAF. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
Subject to your compliance with these Terms, THAF grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include any resale or commercial use of the Services or their contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Services or their contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these Terms are reserved and retained by THAF or its licensors, suppliers, publishers, rightsholders, or other content providers. No portion of the Services may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of THAF.
6. User Content and Submissions
6.1 License Grant
By submitting, posting, displaying, transmitting, or otherwise making available any content, materials, testimonials, stories, photographs, videos, feedback, suggestions, ideas, comments, questions, or other communications to or through the Services (collectively, "User Content"), you hereby grant to THAF a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and exploit such User Content in any and all media or distribution methods now known or later developed, in connection with THAF's mission, operations, marketing, fundraising, advocacy, and services. This license includes the right for THAF to use your name, likeness, voice, and biographical information in connection with your User Content, and to sublicense these rights to third parties for the purposes of operating, promoting, and improving the Services and advancing THAF's charitable objectives.
You represent and warrant that: (a) you own or have obtained all necessary rights, licenses, consents, and permissions to submit your User Content and to grant the rights and licenses set forth herein; (b) your User Content does not and will not infringe, misappropriate, or violate any third-party rights, including but not limited to copyright, trademark, trade secret, patent, publicity, privacy, or other personal or proprietary rights; (c) your User Content does not contain any defamatory, libelous, obscene, indecent, abusive, threatening, harassing, hateful, discriminatory, or otherwise objectionable material; (d) you have obtained all necessary consents, releases, and permissions from all individuals depicted or identifiable in your User Content; and (e) your User Content complies with all applicable laws, regulations, and these Terms. You agree to indemnify and hold harmless THAF from any claims, damages, or expenses arising from any breach of these representations and warranties.
6.2 No Confidentiality or Compensation
Any communications or materials you transmit to THAF by electronic mail or otherwise, including any User Content, data, questions, comments, suggestions, ideas, or the like, will be treated as non-confidential and non-proprietary. THAF shall have no obligation of any kind with respect to such information and shall be free to reproduce, use, disclose, display, exhibit, transmit, perform, create derivative works from, and distribute such information to others without limitation, and to use any ideas, concepts, know-how, or techniques contained in such information for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products and services incorporating such information. You acknowledge and agree that THAF has no obligation to compensate you for any User Content you submit, regardless of whether THAF uses your User Content or whether such use generates any revenue or benefit for THAF.
6.3 Content Monitoring and Removal
THAF does not and cannot review all User Content posted to or created through the Services, and THAF is not in any manner responsible for the content of such User Content. THAF reserves the right, but has no obligation, to monitor, review, edit, modify, or remove any User Content at any time, for any reason or no reason, in its sole discretion, without notice to you. THAF may, without limitation, remove User Content that it determines, in its sole judgment, violates these Terms, is objectionable or inappropriate, exposes THAF or any third party to liability, or is otherwise inconsistent with THAF's mission, values, or brand. You acknowledge and agree that THAF has no liability or responsibility to you for any action or inaction by THAF with respect to User Content, including without limitation any failure to remove or delay in removing User Content.
7. Disclaimer of Warranties
YOUR USE OF OUR WEBSITE AND SERVICES IS AT YOUR SOLE RISK. OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
THAF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, VOLUNTEERS, AND LICENSORS (COLLECTIVELY, "THAF PARTIES") DO NOT WARRANT THAT OUR WEBSITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS OBTAINED FROM USING OUR SERVICES WILL BE ACCURATE OR RELIABLE; THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED; THAT OUR WEBSITE IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS; OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH OUR SERVICES WILL MEET YOUR EXPECTATIONS.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THAF OR THROUGH OUR SERVICES, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON OUR WEBSITE, INCLUDING INFORMATION PROVIDED BY THIRD PARTIES. ALL WARRANTIES, EXPRESS OR IMPLIED, ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THAF OR ANY THAF PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, OUR WEBSITE OR SERVICES; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES; ANY CONTENT OBTAINED FROM OUR SERVICES; UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; DECISIONS MADE REGARDING FUNDING APPLICATIONS; OUTCOMES OF HEALTHCARE SERVICES FUNDED THROUGH OUR PROGRAMS; OR STATEMENTS OR CONDUCT OF ANY THIRD PARTY OR HEALTHCARE PROVIDER.
THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF THAF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THAF'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL THAF'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU, IF ANY, TO THAF IN CONNECTION WITH THE SERVICES IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
9. Indemnification
You agree to defend, indemnify, and hold harmless THAF and its officers, directors, employees, agents, volunteers, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or any applicable law or regulation; your use of our Website or Services, including but not limited to User Content submitted by you; your negligence, fraud, or willful misconduct; any damage you cause to third parties through your use of our Services; any disputes between you and any healthcare provider or third party; or any unauthorized use of your account. You agree to cooperate with THAF in the defense of any such claim. THAF reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree not to settle any such matter without the prior written consent of THAF.
The indemnification obligations set forth in this Section 9 shall survive termination of these Terms and your use of the Services, and shall continue in full force and effect indefinitely.
10. Modifications to Terms
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, by posting the changes on our website or by sending you an email. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, you are no longer authorized to use our Services. We encourage you to review these Terms periodically to stay informed about our policies.
11. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. This includes, but is not limited to: submission of fraudulent or misleading information in any application or communication; violation of any applicable laws, regulations, or these Terms; harassment, abuse, or harm directed at THAF staff, volunteers, or other users; unauthorized access attempts or security breaches of our systems; failure to comply with fund usage requirements or misuse of awarded funds; or any conduct that THAF determines, in its sole discretion, to be harmful to THAF's mission, reputation, or operations.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Upon termination, any pending applications may be cancelled, and any approved but unexpended funds may be forfeited at THAF's discretion.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal or state courts located in Louisville, Kentucky, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant jurisdiction.
12.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good faith negotiations between the parties. If such negotiations fail to resolve the dispute within thirty (30) days, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Louisville, Kentucky, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator shall have authority to award the same damages and relief as a court, but may not alter or amend these Terms. Each party shall bear its own costs and expenses in connection with the arbitration, and the parties shall equally share the administrative fees and arbitrator fees.
YOU AGREE THAT ANY ARBITRATION OR LEGAL ACTION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST THAF. YOU FURTHER AGREE THAT ANY CLAIMS BY YOU MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU UNDERSTAND THAT BY ENTERING INTO THESE TERMS, YOU AND THAF ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
12.3 Jurisdiction
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Louisville, Kentucky, to the extent such disputes are not subject to mandatory arbitration as set forth above. You hereby irrevocably submit to the exclusive jurisdiction of such courts and waive any objection to venue in such courts.
13. Third-Party Links and Services
Our Services may contain links to third-party websites or services that are not owned or controlled by THAF. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities or individuals or their websites.
Healthcare providers listed or referenced on our website are independent contractors and not employees or agents of THAF. We do not endorse any specific provider and are not responsible for the quality of care provided by any third-party provider. You acknowledge and agree that THAF shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.
YOUR USE OF THIRD-PARTY WEBSITES AND SERVICES IS AT YOUR OWN RISK AND SUBJECT TO THE TERMS AND CONDITIONS OF USE FOR SUCH WEBSITES AND SERVICES. YOU SHOULD CAREFULLY REVIEW THE TERMS AND POLICIES OF ANY THIRD-PARTY WEBSITE OR SERVICE BEFORE PROVIDING ANY PERSONAL INFORMATION OR ENGAGING IN ANY TRANSACTION.
14. Privacy Policy
Your privacy is important to us. Please review our Privacy Policy, which is hereby incorporated into these Terms by reference and made a part hereof as if fully set forth herein. The Privacy Policy explains how we collect, use, disclose, and protect your personal information when you use our Services. By using our Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. 15. Miscellaneous Provisions
15.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. The invalidity of any provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. If any provision is found unenforceable, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions remain in full force and effect.
15.2 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, shall constitute the entire agreement between you and THAF concerning the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, concerning the subject matter hereof. You acknowledge and agree that you have not relied on any statement, promise, or representation not expressly set forth in these Terms.
15.3 Waiver
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of THAF to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of THAF to be effective.
15.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
